REFERRAL / AFFILIATE PROGRAM AGREEMENT

1. PARTIES

This Agreement (“Agreement”) is entered into by and between:

Langlois LLC, a Wyoming limited liability company (“Company”),
and
Any individual or entity participating in the referral program (“Member”).

Participation constitutes full acceptance of this Agreement.

2. PURPOSE

This Agreement governs the terms under which the Member may refer customers to the Company and receive commissions.

3. COMMISSION STRUCTURE

  • Commission rate: 50% of amounts actually received by the Company.

  • Commissions are calculated using a point system:
    1 point = 1 USD.

4. PAYMENT TERMS

a) Monthly Payments

Monthly subscription commissions are calculated and paid at the end of the applicable month, subject to no refunds or disputes.

b) Annual or Lifetime Payments

  • A 60-day refund period applies.

  • If any cancellation, refund, or chargeback occurs:

    • Any commission becomes void and unearned.

    • The Company may withhold, cancel, or recover previously paid commissions.

5. PAYMENT REQUEST

  • Payments are made only upon Member request.

  • Available methods:

    • PayPal

    • Bank transfer

  • No minimum payout frequency is guaranteed.

6. ELIGIBILITY AND FRAUD PREVENTION

The Company reserves sole discretion to reject referrals and void commissions in cases of fraud, abuse, misrepresentation, or unethical conduct.

7. INDEPENDENT CONTRACTOR

The Member is an independent contractor.
No employment, partnership, franchise, or joint venture is created.

8. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Company shall not be liable for indirect or consequential damages.
Total liability shall not exceed commissions actually paid.

9. INDEMNIFICATION

The Member agrees to indemnify and hold harmless the Company from all claims arising from their actions or violations of this Agreement.

10. NO INCOME GUARANTEE

No income or earnings are guaranteed.
Results depend solely on the Member’s efforts.

11. GOVERNING LAW

This Agreement is governed by the laws of the State of Wyoming, USA.
Exclusive jurisdiction lies in Wyoming courts.

12. MODIFICATIONS

The Company may modify this Agreement at any time. Continued participation constitutes acceptance.

13. ELECTRONIC ACCEPTANCE

This Agreement is legally binding through electronic acceptance.
